Terms of Service

Important Notice: These Terms of Service constitute a legally binding agreement between you and Ship Wright. By using the Shipwright AI platform, you agree to be bound by these terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using the Shipwright AI website, API, software, or services (collectively, the "Service"), provided by Ship Wright ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will refer to that entity.

2. Description of Service

Shipwright AI is a developer and DevOps platform that utilizes artificial intelligence to assist with software development, infrastructure management, deployment, and monitoring. The Service may include web applications, APIs, command-line tools, and integrations with third-party platforms (like GitHub and AWS).

We are constantly innovating and improving the Service. We may change, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content, with or without notice.

3. Account Registration & Security

  • Account Creation: You must create an account to use most features of the Service. You agree to provide accurate, current, and complete information during registration.
  • Account Security: You are responsible for safeguarding your password and API keys. You agree not to disclose your password to any third party and will immediately notify us of any unauthorized use of your account.
  • Team Accounts: If you invite other users to join your workspace or team, you are responsible for their actions and compliance with these Terms.

4. User Content & Intellectual Property

Your Content: You retain all ownership rights to the source code, prompts, text, data, and other materials you submit to the Service ("User Content"). By submitting User Content, you grant us a limited, worldwide, non-exclusive license to use, host, and process your User Content strictly for the purpose of providing the Service to you.

AI Generated Output: You own all intellectual property rights in the code and text generated by the AI assistant specifically for you ("Output"), subject to your compliance with these Terms. We claim no ownership over the Output.

Our Intellectual Property: The Service itself (excluding your User Content and Output), including its underlying software, algorithms, UI/UX, branding, and documentation, are the exclusive property of Ship Wright and are protected by copyright and other intellectual property laws.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation.
  • Infringe upon the intellectual property rights of others.
  • Distribute malware, viruses, or other harmful computer code.
  • Attempt to bypass, disable, or circumvent any security features or rate limits of the Service.
  • Reverse engineer, decompile, or disassemble the Service or its underlying AI models.
  • Use the Service to generate code for the purpose of carrying out cyberattacks, exploiting vulnerabilities, or engaging in malicious hacking.

6. Fees and Payment

Some features of the Service are offered for a fee. If you choose to subscribe to a paid plan, you agree to pay all fees associated with your account.

  • Billing: Fees are billed in advance on a recurring basis (monthly or annually) depending on your plan.
  • Usage Limits: Certain plans have usage limits (e.g., AI compute tokens, deployment minutes). Exceeding these may result in additional charges or service throttling.
  • Refunds: Please refer to our Refund Policy. Generally, all payments are non-refundable except where required by law.
  • Changes to Fees: We reserve the right to change our pricing at any time, but we will provide at least 30 days' notice before changes take effect for existing customers.

7. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE."

We expressly disclaim all warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

AI Disclaimer: The AI features of the Service generate code and recommendations based on probabilistic models. The Output may contain errors, bugs, or security vulnerabilities. You are solely responsible for reviewing, testing, and verifying all Output before deploying it to production. We assume no liability for the performance, security, or functionality of the code generated by the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Ship Wright, its affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service.

Under no circumstances will our total liability to you for all claims arising out of or related to these Terms or the Service exceed the amount you paid to us for the Service in the twelve (12) months preceding the date of the claim.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service and request data deletion via your account settings.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
